Plate Designer Terms & Conditions

These Terms and Conditions govern access to and use of the Don Plates Plate Designer and associated services supplied by ShawByte Labs Limited trading as Don Plates.

Last updated: 27 September 2026

1. Business Use Only

The Software is supplied for business and professional use by number plate suppliers and related businesses. By purchasing or using the Software, you confirm that you are acting wholly or mainly for purposes relating to your trade, business, craft or profession and not as a consumer.

Where access to Road Legal functionality is restricted to registered number plate suppliers, we may request evidence of registration or other information before activating or continuing access to that functionality.

We reserve the right to refuse or suspend access where we reasonably believe information supplied during registration is false, misleading or cannot be verified.

2. The Software

Don Plates Plate Designer is a browser-based number plate design and production tool.

Depending on the version of the Software and subscription purchased, functionality may include number plate design and live preview; Road Legal and Show Plate modes; standard, short, motorcycle and other supported plate sizes; fonts, borders and backgrounds; flags and identifiers; zero-emission vehicle plate features; custom images, badges and logos; supplier and British Standard markings; saved designs; PDF, SVG or other production output; printer and production calibration; and other functionality introduced from time to time.

Features may be added, modified or removed as the Software develops, provided that we will not intentionally remove material functionality from a paid subscription without reasonable justification.

3. Licence

Subject to payment of the applicable fees and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable and revocable licence to use the Software for your own business operations for the duration of your subscription.

Unless expressly agreed by us in writing, your licence does not permit you to sell, sublicense, rent or redistribute access; provide your account to another business; copy or redistribute substantial parts of the Software; reverse engineer or circumvent technical protections except where law prohibits such restriction; reproduce proprietary fonts, artwork or templates independently from the Software; remove proprietary notices; or use the Software to develop a substantially competing plate design product.

4. User Accounts

You are responsible for maintaining the confidentiality and security of your account credentials. Accounts must not be shared outside the organisation or users covered by the licence purchased. You must notify us promptly if you believe your account has been compromised or accessed without authorisation.

5. Subscription Period

Access is provided for the subscription period shown when the licence is purchased or otherwise agreed with Don Plates. Your account may display the applicable subscription expiry date.

Unless an automatic renewal arrangement has expressly been agreed, the licence will expire at the end of the purchased subscription period. When a subscription expires, access to some or all of the Software may be disabled until renewed.

We recommend exporting any designs or other information you require before expiry. We may retain account information and saved designs for a reasonable period following expiry to facilitate renewal, subject to our Privacy Policy and applicable data protection law. We do not guarantee indefinite retention following expiry.

6. Fees and Payment

The applicable price will be the price displayed or quoted at the time of purchase. Unless stated otherwise, prices are exclusive of VAT where VAT is applicable. Access may be withheld until payment has been received. If a payment is reversed, charged back, cancelled or otherwise remains outstanding, we may suspend access while the matter is resolved.

8. Show Plates and Custom Designs

Show Plate mode and custom-design functionality may permit designs that would not comply with requirements for road-use number plates. The availability of a design option within the Software does not mean that the resulting plate is lawful for use on a public road.

The Customer is responsible for determining the lawful purpose for which a design may be manufactured, advertised, supplied or used. Where the Software identifies a design as a Show Plate or non-road-use design, the Customer must not rely upon Road Legal validation features for that design.

9. Flags, Badges, Logos and Uploaded Content

The Software may allow you to upload custom images, logos, badges or other content. You confirm that you have all rights, permissions and licences necessary to use content that you upload.

You must not upload content that is unlawful, infringes intellectual property rights, contains malicious code or is otherwise likely to damage the Software or our systems. We may impose restrictions on supported file formats, dimensions and file sizes for security and technical reasons.

10. Saved Designs and Backups

Where saved-design functionality is provided, we will take reasonable measures to operate and maintain it. However, the Software must not be treated as the Customer's sole permanent archive. You should retain independent copies of important production files and designs.

We do not guarantee that saved designs will be retained indefinitely following account expiry, cancellation or termination.

11. Availability and Maintenance

We aim to provide reliable access to the Software but do not guarantee uninterrupted or error-free availability. Access may occasionally be interrupted for maintenance, upgrades, security work, server issues, internet failures or circumstances outside our reasonable control.

12. Updates

We may update the Software to correct errors, improve security or performance, add functionality, maintain compatibility, respond to changes in legislation or regulatory guidance, or improve the user experience. Customers should use the current version of the Software and ensure that their own production procedures remain compliant with applicable requirements.

13. Intellectual Property

The Software and its underlying source code, interface, design, branding, proprietary artwork, templates and other intellectual property belong to Don Plates, ShawByte Labs Limited, or their respective licensors. Nothing in these Terms transfers ownership of that intellectual property to the Customer.

Designs and artwork uploaded by the Customer remain the property of the Customer or their respective rights holders. The Customer grants us a limited licence to process such material only to the extent necessary to provide, secure, maintain and support the Software.

14. Acceptable Use

You must not attempt to gain unauthorised access to the Software, servers or another user's account; bypass subscription, authentication or security controls; deliberately interfere with operation; introduce malware; use automated systems to place unreasonable load on the service; use another organisation's account without permission; or use the Software for unlawful purposes.

We may suspend access immediately where reasonably necessary to protect the Software, our infrastructure, other customers or third parties.

15. Data Protection and Privacy

We process personal data relating to your account and use of the Software in accordance with our Privacy Policy and applicable UK data protection law.

You are responsible for ensuring that any personal data you choose to enter into designs or upload to the Software is processed lawfully. The Software is not currently intended to act as an RNPS customer-document or identity-document storage system unless we expressly introduce such functionality.

You should not upload passports, driving licences, V5C documents or other customer identity documents unless the Software expressly provides a feature designed for that purpose.

16. Confidentiality and Security

We will take reasonable technical and organisational measures to protect the Software and personal data processed through it. You are responsible for the security of devices, browsers, networks, printers and other systems used to access the Software.

17. Third-Party Services

The Software may rely upon third-party services such as hosting, email delivery, payment processing or other infrastructure. We are not responsible for failures caused solely by a third-party service outside our reasonable control, although we will take reasonable steps to restore affected functionality where possible.

18. Support

Support is provided using the contact methods advertised by Don Plates. We will make reasonable efforts to investigate technical issues but do not guarantee a particular response or resolution time unless a separate service-level agreement has been agreed in writing.

Support does not include responsibility for configuring or repairing the Customer's own printers, computers, operating systems, networks or third-party software unless separately agreed.

19. Suspension and Termination

We may suspend or terminate access where fees remain unpaid; the subscription has expired; these Terms are materially breached; we reasonably suspect unauthorised or fraudulent use; continued access creates a material security risk; or use of the Software is unlawful.

Where reasonably appropriate, we will give the Customer an opportunity to remedy a breach before permanent termination. Serious security abuse, deliberate circumvention of licensing controls or unlawful activity may result in immediate suspension.

20. Cancellation

Where a Customer purchases a fixed-term business licence, cancellation does not automatically entitle the Customer to a refund for the unused portion of that licence unless otherwise agreed or required by law. Nothing in these Terms excludes rights that cannot lawfully be excluded.

If we permanently discontinue the Software during a prepaid subscription period, we will provide an appropriate remedy, which may include continued access for a transition period or a proportionate refund for the unused prepaid period.

21. Liability

Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to the above, Don Plates will not be liable for indirect or consequential loss, loss of profits, loss of anticipated savings, loss of business, loss of opportunity, loss of goodwill, or loss arising from a Customer's failure to verify a finished physical number plate.

The Software is a production and design tool. The Customer retains responsibility for its manufacturing process and for determining whether a finished product is suitable and lawful for its intended use.

Subject to liabilities which cannot lawfully be limited, our total aggregate liability arising out of or in connection with the Software during any 12-month period will not exceed the total subscription fees actually paid by the Customer for the Software during that period.

Legal review recommended: limitation-of-liability wording should be reviewed by a UK solicitor before commercial launch.

22. Indemnity

The Customer will be responsible for losses, claims or reasonable costs incurred by Don Plates as a direct result of the Customer's unlawful use of the Software, infringement of third-party intellectual property through Customer-uploaded content, or deliberate breach of these Terms. This does not apply to the extent that the loss was caused by Don Plates.

23. Changes to These Terms

We may amend these Terms where reasonably necessary because of changes to the Software, law, regulation, security requirements or our business operations. Material changes affecting an existing paid subscription will be communicated by reasonable means.

24. Transfer

The Customer may not transfer or assign its licence to another person or business without our written consent. We may transfer our rights and obligations under these Terms as part of a sale, restructuring or transfer of the Software or relevant business, provided that doing so does not materially reduce the Customer's contractual rights.

25. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

26. No Waiver

A delay or failure by either party to exercise a contractual right does not mean that the right has been waived.

27. Entire Agreement

These Terms, together with the applicable order or subscription details and any documents expressly incorporated into them, constitute the agreement between the parties concerning use of the Software. They replace previous discussions or representations concerning the same subject matter, except in the case of fraud or fraudulent misrepresentation.

28. Governing Law and Jurisdiction

These Terms and any dispute or claim arising from them are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction over disputes arising from or connected with these Terms.
